Regulations

 

1.1.General statutes

• The Research-Intellectual Club “Dialogue of Generations” (hereinafter referred to as the Club) is non-governmental, non-commercial organiza

1. The club fulfills activity as per Georgian Constitution, International legal Acts, Legislation and present regulations.

2. The goals, functions, structures and activity of the Club are determined under the present regulations and Georgian legislation.

   Legal address of the Club is: 23/37 Gamarjveba ave. Kutaisi.

   The club holds own emblem, seal and stamp.

   The club is authorized to have an own bank account and other type of accounts and do non-property and property activity in side as well outside of the country.

   The complete name of the club in Georgian is სამეცნიერო-ინტელექტუალური კლუბი ”თაობათა დიალოგი”; in Russian language - «Научно-интеллектуальный клуб «Диалог поколений»»; in English language - "Research-Intellectual Club "Dialogue of Generations”, with abbreviation: RICDOG.

  Nugzar Kokhreidze- born on 26.05.1981, residing at 3, V. Amashukeli str. Kutaisi, personal N 60001028226, ID card G 1002691.

 

• Goals and objectives of the Club

  The goal of the Club is:

The goal of the club is to support formation of mutual respect environment, to develop civil society, democratic processes, science; to build tolerant and respectful atmosphere between different nations, to research and integrate culture, science, traditions, literature of the countries in the world, to provide protection of transcultural dialogue, human rights, nature and environment, to manage conflicts.

To support development of democratic processes, protection of human rights and freedom, free word and democratic institutions, and formation of free elective environment and open civil society;

To support popularization of science, development of scientific fields, to rise youth involvement in scientific works, to plan scientific carrier, to promote scientific researches and support;

To support development of youth generation, promotion and their civic involvement, displaying their abilities, their involvement in formal and informal education and their formation as active citizens;

To support formation of ecological culture and consciousness, processes of fighting against climate changes, protection of environmental and natural resources, fulfillment of scientific and researching works for nature protection and awareness of the society on current processes in the environment;

To support development of culture, consolidation of transcultural relations, formation of multicultural area and environment; development of cultural branches and displaying new talented generation;

• Based on goals of the club objectives consist of:

• Organization of international and local conferences, seminars, monolectures, symposiums, cultural and cognitive evenings, concerts, exhibitions;

• Fulfillment of grants;

• Establishment of relations with similar organizations inside as well outside of the country;

• Organization of press conferences, consultations, TV programs, charitable and other kind of events.

• Establishment of newspapers, magazines, scientific collection, blogs, internet broadcast, internet newspaper, printing and broadcasting entity under the legislation of Georgia;

• Fulfillment of scientific researches, archeological and scientific studies, establishment of scientific institutes, holding scientific lectures and establishing scientific laboratories;

•   Making social consulting and service centers in different directions;

• Collaboration with association of countrymen of different nations;

•  Financial and other kind of support to initiative groups and NGO under the standards of legislation of Georgia;

• Involvement of youth in exchange studying programs and their fulfillment;

• Organization of youth international and local camps, programs, games;

• Involvement of youth from 14 up to 30 years old in informal and civic activity programs;

• Popularization of activity of cultural workers;

• Fulfillment of travel activity for development of culture ;

• Fulfillment of charitable activity;

• Fulfillment of scientific, entertaining and intellectual corporate games;

• Observation, evaluation and monitoring  of pre-election and election processes;

• Holding civil actions and events;

• Planning and fulfillment of advocating and civil monitoring arrangements.

   

• Members of the Club and their liabilities

 

• The member of the Club can become any person or group of persons sharing objectives and goals of the Club on the basis of the application to secretary general. The members of the club can be a citizen of Georgia or foreigner. The membership is decided by the board of the Club by simple majority of votes.

 

• The member of the Club is eligible:

 

• To be elected in the authorities of management of the club;

• To participate in any events organized by the club;

• To offer new projects, proposals and advices;

• To initiate any issues determined under the present regulations.

 

• The member of the club is obliged:

 

• To participate in the election of management authority of the club;

• To defend standards as specified in the regulations;

• To pay membership fee;

• To propagate goals and objectives of the club;

• To subordinate decision of the board of the club;

• To follow by-law, resolutions and decisions of the board;

  The member of the club can appeal decision of the board within 5 working days, after expiration of the period the decision won’t be reviewed.

   The member of the club shall make a complaint before presidium, which will take a decision within 10 business days;

  The decision of Presidium is final and cannot be appealed;

  The members of presidium takes a decision on appeal by way of consensus;

  The member of the Club can be excluded from membership of the Club in case of abrogation of the Regulation by majority of votes of the board;

 

• Club structure

 

• The supreme management body of the organization is a general meeting which is held once in two years. The competences of the meeting are:

• Election of members of the board from membership of the board;

• Insertion of amendments and additions in the regulation of the club;

 

• The general meeting takes decisions by 2/3 of attending members, excluding impeachment of secretary general and amendments in the regulation which is taken by ¾ of members.

  

Presidium

 

• The Presidium is a body consisting of founders: Iraida Krotenko- President, Nona Bobokhidze Vice-president and Nugzar Kokhreidze- chairman.

• The presidium is the unchanged body. Any changes in the membership of presidium are made in case of death of any founders.

• Election of the new member of presidium is made by consensus of the members.  

• The new member of Presidium don’t have any property and financial rights in the organization;

• No rules are spread on a newly elected member of presidium in case of liquidation of the organization;

 

• The competence of the Presidium includes the following:

• Conducting and organization of working of General Meeting of the club;

• Elaboration of the agenda of the general meeting of the Club;

• Organization and conducting election of the secretary general and membership of the board;

• Drawing of protocol of general meeting of the club;

• Monitoring and evaluation of activity of the board of the club;

• Control and evaluation of fulfillment of  goals and objectives, strategic development plans of the club;

  Fulfillment of the functions of the president, vice-president and chairman together with duties as specified in the regulations are interrupted on the basis of consensus of members of the presidium and special by law.

  The members of the presidium fulfill program and financial supervision of the organization.

  The members of the presidium permanently elect one of the members of the presidium  by simple majority of votes. The elected member will be authorized to sign on all legal and financial documents on behalf of the organization. The member will be empowered with the right of representation of the organization.

  The member responsible on signing in the presidium can be changed for fulfillment of the additional function in case of voluntary refusal or/and impossibility of fulfillment of duties of the presidium member.

  In case of equal partition of the votes of the presidium members the chairman has casting vote.

  The responsible person on signing legal and financial documents of the organization is the duly elected member in compliance with the rule of the statute and the secretary general.

 

Board of the Club:

• The board of the club is the supreme body of the club which competences include:

• Coordination and organization of the Club;

• Elaboration and fulfillment of strategic plan of the club;

• Promulgation of resolution and order;

• Establishment of working teams, specialized clubs, sections, councils, institutes, organizations and branches on the grounds of interests of the organization;

• Development of internal rules of the club.

 

Secretary General of the club:

• Secretary general of the club is elected by the club for a year by simple majority of votes

• The competences of the secretary general of the club includes:

• Coordination of operation of the club;

• Distribution of duties and responsibilities to members of the club;

• Accountability before general meeting of members of the club, presidium and board;

• Presenting annual report to the members of the general meeting, presidium and board.

  The secretary general represents the club inside as well outside of the country;

  Only secretary general and members of presidium or their delegated members of the club are eligible for making an official statement;

  Secretary general can be elected in succession three times;

  General meeting of members of the club elects no less than 4 and no more than 7 members of the board of the club for three years;

  Liabilities of members of the board are specified by board of the club through development of the rules on the first meeting.

  The board elects secretary general and vice-secretary general on the first meeting for a year;

  Members of the organization are eligible to impeach the secretary general of the organization.

  Organizers of impeachment should announce the presidium in written form and submit no less than fifteen members’ signatures. 

  The presidium convokes general meeting of members of the club within 10 days and raises the question of impeachment.

  Impeachment is valid if it is seconded by ¾ of the general meeting of the members of the organization.

  The decision on impeachment takes immediate effect.

  The impeached secretary general leaves the membership of the club.

  In case of early cessation of responsibilities of the secretary general by way of impeachment or other reason, the vice- secretary general continues performance of duties until election of the new secretary general as per standards specified in the present regulations.

  The new secretary general should be elected by the board no less than within 15 business days.           

  The members of the board, who early discontinues membership of the board, shall report to the board on the decision 1 month earlier.

  The presidium convokes general meeting of members of the organization within 10 days and the meeting elects members of the board according to vacant places in the board.

  The term of early selected member of the board doesn’t spread to the newly selected member of the board.

  The questions that aren’t regulated under the present regulations, by agreement with the presidium and majority of members of the general meeting, can be regulated by the board on the grounds of the own resolution.

 

 

• Property and funds of the Club

• The club is authorized to have an own bank account, conduct financial and other type of activities and have a real and personal assets. 

• The basic financial sources of the club:

• Voluntary membership fees of members of the club;

• Funds from grants;

• Donations.

• Reorganization and liquidation of the Club

• Reorganization and liquidation of the club is made under the rule of Georgian legislation.
